Terms of Service

1. About these terms

These terms of service ("Terms") govern your access to and use of ChurnHalt (the "Service"), operated by ChurnHalt ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organisation, you are agreeing to these Terms on behalf of that organisation and represent that you have authority to do so.

2. The Service

ChurnHalt connects to your Stripe account via a read-only restricted API key. We analyse subscription and customer data to identify churn patterns and flag at-risk subscribers. We do not process payments, modify your Stripe account, or store customer payment details.

3. Your account

You are responsible for maintaining the security of your account credentials. You must notify us promptly if you become aware of any unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Stripe API keys

You must provide a restricted, read-only Stripe API key. We verify that the key cannot perform write operations before accepting it. Your API key is encrypted at rest using AES-256 encryption. You may revoke access at any time by deleting the restricted key in your Stripe dashboard.

5. Fees and billing

The Service is billed annually via Stripe. The current price is displayed on our website at the time of purchase. We will notify you of any price changes at least 30 days before your next renewal. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period.

6. Your data

You retain ownership of all data you provide to the Service. We process your data solely to provide the Service as described in our Privacy Policy. We do not sell your data to third parties.

If you cancel your account, we will delete your data (including your encrypted API key and all analysed subscription data) within 30 days of the end of your billing period.

7. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorised access to the Service or its infrastructure; (c) interfere with or disrupt the Service; (d) reverse-engineer or attempt to extract the source code of the Service; or (e) use the Service to compete directly with ChurnHalt.

8. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will make reasonable efforts to notify you of planned downtime in advance.

9. Limitation of liability

To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from or relating to these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under the laws of England and Wales.

10. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
